    Terex продает Konecranes бизнес по производству портового погрузочно-разгрузочного оборудования

    Terex Corporation и Konecranes Plc договорились о взаимном прекращении действия соглашения об объединении бизнеса, которое  компании подписали 10 августа 2015 года. В сообщении Terex отмечается, что расторжение соглашения осуществляется без каких- либо выплат любой из сторон.

    В связи с прекращением соглашения об объединении Terex подписала окончательное соглашение о продаже своих активов по производству различного оборудования для выполнения погрузочно-разгрузочных и иных портовых операций группе Konecranes.

    Полная стоимость бизнеса оценивается в приблизительно $1,3 млрд. При этом условия купли-продажи предусматривают выплату $820 млн наличными и 19,6 млн вновь выпущенными акциями Konecranes. После завершения сделки Terex будет принадлежать около 25% выпущенных акций Konecranes, а также право выдвигать в Совет двух директоров. Сделку, которую должны утвердить соответствующие регулирующие органы и акционеры Konecranes, планируется закрыть в январе 2017 года.

    Соглашение также предусматривает возможность для Terex продолжить переговоры с Zoomlion Heavy Industries Science & Technology Co., Ltd . (Zoomlion) о продаже целиком бизнеса Terex.
