The Russian Government has announced its three candidates to the Board of Directors of JSC United Shipbuilding Corporation (USC). The corresponding decree (Aug. 26, 2013 № 1505-r) was inked by Prime Minister Dmitry Medvedev.
The document was developed by the Russian Ministry of Economic Development, in accordance with the requirements of the Federal Law "On Joint Stock Companies", with the resolution of the Russian Federation dated December 3, 2004 (№ 738) "On the control of federally owned shares of joint stock companies and the use of the special right of the Russian Federation in the management of public companies ("golden share") ", and in accordance with the Charter of open joint stock company “United Shipbuilding Corporation".
The Russian Federation owns 100% of shares in JSC "USC".
The nominees are as follows: Oleg Sienko, General Director of JSC Scientific and Production Corporation Uralvagonzavod, Vladimir Shmakov, President of JSC United Shipbuilding Corporation and Andrei Shishkin, Vice-President of oil company Rosneft. All of them have been members of the Board of Directors.
The USC Board of Directors also includes: Vnesheconombank Chairman Vladimir Dmitriev, General Director of FSUE Krylovskiy State Scientific Center, Andrei Dutov, Deputy Minister of the Ministry of Economic Development Andrei Klepach, Deputy Chairman of the Board of OAO Gazprom Vitaly Markelov, Deputy Transport Minister Viktor Olersky, a member of military and industrial commission under the Government of the Russian Federation Vladimir Pospelov, Deputy Minister of Industry and Trade of the Russian Federation Alexei Rakhmanov and CEO of Rostechnologii Sergei Chemezov.
Annex No 6 to the order of the Government of the Russian Federation on March 18, 2013 (№ 373-r) contains the list of approved 11 candidates for election as representatives of the Russian Federation and the independent directors to the Board of Directors and the Audit Committee of USC.
According to the instruction of the President of the Russian Federation dated 21 May 2013 the Government of the Russian Federation was requested to appoint to the Board of Directors of JSC United Shipbuilding Corporation representatives of the main customers of marine equipment.
The Government of the Russian Federation in its order of June 3, 2013 tasked all the interested federal executive bodies to undertake the necessary corporate actions to increase the composition of the Board of Directors of JSC United Shipbuilding Corporation from 11 to 13 and including representatives of the main customers of the marine machinery and equipment to the Board of Directors.
United Shipbuilding Corporation is the largest shipbuilding company in Russia. It was established in accordance with the presidential decree 2007 with 100% of the shares in federal ownership. The Group incorporates about 60 companies and organizations (major shipbuilding and dock yards, leading naval engineering and architecture firms). Currently, the USC consolidates about 80% of the domestic shipbuilding industry. The Corporation is focused primarily on the Russian market but also manufactures some of its products for export to 20 countries around the world.
