Russkaya Troyka completes placement of additional shares

On May 10, 2007, Russkaya Troyka CJSC completed placement of shares of additional emission registered on March 15, 2007. According to the company’s press release, BOD of Russkaya Troyka will consider the report on the emission results late in May. Then the report is to be sent for state registration to the Federal Service on RF Financial Markets. 471,996 registered non-documentary shares with nominal value of RUR 1,000 were placed under closed subscription. The value of placement made RUR 1,025 per share. 50% of additional emission (235,998 shares) was acquired by NPF Blagosostoyaniye, and 50% (235,998 shares) was purchased by Far East Shipping Company OJSC (part of FESCO transport group).
The placement made RUR 484 million. Authorized capital of
Russkaya Troyka CJSC more than doubled to RUR 956 million. The company’s shareholders are Russian Railways OJSC (25%+1 share), NPF Blagosostoyaniye (25%-1 share), and Far East Shipping Company OJSC (50% shares).
The decision on increase of the company’s authorized capital was taken by the extraordinary meeting of the company’s shareholders held on January 26, 2007. Earlier, the decision was approved on December 22, 2006 by BOD of Russian Railways OJSC.

Russkaya Troyka CJSC was set up in 2004 on parity terms by Russia’s largest transport companies:  Russian Railways OJSC and Far East Shipping Company OJSC  (part of FESCO transport group). The company’s shareholders are: Russian Railways OJSC, Far East Shipping Company OJSC (FESCO) and NPF Blagosostoyaniye. As of 02.05.07, the company’s authorized capital totals RUR 472 million. The company started its activities on March 28, 2005. The company’s rolling stock comprises 1,086 fitting platforms. In the first quarter of 2007 the company transported 21,100 TEU. Throughout the company’s complete operational period it transported 83.800 TEU. The following services were opened by the company: Nakhodka-Taganrog (project cargo), Nakhodka-Izhevsk (project cargo) and Nakhodka-Moscow (retail cargo).
